Terms of Service

1. Definitions

   1. "Project Mitra" refers to our proprietary cloud-based SaaS platform designed to help students create, view, edit, and download academic projects.
   2. "User Content" means any project, data, text, or other materials that users create, upload, edit, or download using the Service.
   3. "Service" means the usage of Project Mitra, its features, content, functionalities, and related support.
   4. "Agreement" refers to this Terms of Service document, including our Privacy Policy, and any other documents referenced herein.

2. Eligibility

   1. You must be at least 18 years of age or the legal age of majority in your jurisdiction to use Project Mitra. If you are under 18, your use must be supervised by a parent or legal guardian who agrees to these Terms on your behalf.

3. Account Registration and Security

   1. To access Project Mitra, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process.
   2. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.
   3. We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, misleading, or violates any applicable laws or these Terms.

4. License and Access Rights

   1. Subject to compliance with these Terms, ReCloud grants you a limited, non-exclusive, non-transferable, revocable license to access and use Project Mitra solely for your personal, educational, or non-commercial use.
   2. You shall not:
      • Reverse engineer, decompile or disassemble the software;
      • Circumvent any technical limitations or access restrictions;
      • Use the Service for any illegal or unauthorized purpose;
      • Use automated tools to extract or harvest data;
      • Share your access credentials with any third party.

5. User Content and Intellectual Property

   1. You may create, edit, and download academic projects through Project Mitra. All such content remains your responsibility.
   2. Ownership and Copyright: All intellectual property, including the created projects and deliverables, shall be the sole property of ReCloud Consulting Private Limited. By using the platform, you irrevocably assign all rights, title, and interest in and to such User Content to ReCloud, including any copyrights.
   3. You agree that ReCloud may use, store, reproduce, adapt, and modify User Content for the purposes of maintaining the Service, improving our offerings, or for research and educational use, subject to applicable laws.
   4. You confirm that your content does not infringe on any third-party rights and does not violate any law.

6. Fees and Payment Terms

   1. Access to Project Mitra may be subject to fees, as specified during registration or on the website. You agree to pay all applicable charges.
   2. All fees are non-refundable, except where explicitly mentioned in a separate Refund Policy.
   3. ReCloud reserves the right to modify pricing and will provide prior notice of any changes.

7. Termination

   1. You may terminate your use of Project Mitra at any time.
   2. We may suspend or terminate your access if:
      • You breach any provision of these Terms;
      • You engage in fraudulent or unlawful behavior;
      • We discontinue the Service for business or legal reasons.
   3. Upon termination, your access to Project Mitra and your data may be permanently deleted. Certain provisions, such as intellectual property rights and indemnity, shall survive termination.

8. Data Privacy and Security

   1. We respect your privacy. Our collection and use of your personal data is governed by our Privacy Policy.
   2. We use industry-standard security measures to protect your data but do not guarantee that unauthorized access will never occur.

9. Limitation of Liability

   1. To the fullest extent permitted by law, ReCloud shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use or inability to use the Service.
   2. Our total liability for any claims under these Terms is limited to the amount paid by you for the Service in the 12 months preceding the claim.

10. Indemnification

    You agree to indemnify, defend and hold harmless ReCloud, its directors, officers, employees, and agents from any claims, liabilities, damages, or costs arising from:

    • Your use of Project Mitra;
    • Your violation of these Terms;
    • Your violation of any third-party rights.

11. Modifications to Service and Terms

    1. We reserve the right to change or discontinue any feature of Project Mitra without notice.
    2. We may revise these Terms from time to time. The updated version will be posted on our website, and your continued use of the Service after changes become effective constitutes your acceptance.

12. Governing Law and Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.

13. Force Majeure

    We shall not be held liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to acts of God, war, terrorism, government orders, natural disasters, or internet failures.

14. Miscellaneous

    1. Entire Agreement: These Terms constitute the entire agreement between you and ReCloud concerning Project Mitra.
    2. Waiver: Our failure to enforce any right shall not be deemed a waiver.
    3. Severability: If any provision is held invalid, the remaining provisions will remain enforceable.
    4. Assignment: You may not assign or transfer your rights under these Terms without prior written consent.
